1. Acceptance of Terms

By accessing or using Factsparrow's website, applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services. These Terms constitute a legally binding agreement between you and Factsparrow.

2. Account Registration

To access certain features of the Services, you must create an account. You may register using your email address or through Google sign-in. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Promptly update your information if it changes
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized access to or use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are involved in fraudulent or harmful activity.

3. Restaurant Services

Factsparrow provides restaurant management and ordering tools through two service plans:

Free Plan

The Free plan provides an offline point-of-sale (POS) system for managing walk-in orders, menu items, and basic restaurant operations. Data is stored locally on the device and does not sync to the cloud.

Pro Plan

The Pro plan includes all Free plan features plus cloud synchronization, listing on the customer-facing ordering app, online order management, analytics and reporting, and TV display mode for customer order tracking.

Factsparrow reserves the right to modify the features included in each plan. We will provide reasonable notice of any material changes to plan features.

4. Payments

The Pro plan is available as a one-time purchase. All payments are processed securely through Razorpay. By making a payment, you agree to Razorpay's terms of service and privacy policy.

Factsparrow does not operate on a subscription model. The Pro plan upgrade is a one-time digital purchase and does not involve recurring charges.

As the Pro plan is a one-time digital purchase that provides immediate access to features, all sales are final. No refunds will be issued once the upgrade has been applied to your account. We encourage you to review the plan features on our website before purchasing.

5. Intellectual Property

All content, features, and functionality of the Services -- including but not limited to text, graphics, logos, icons, images, software, and the underlying code -- are the exclusive property of Factsparrow and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent, except as necessary to use the Services for their intended purpose.

6. User Conduct

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Submit false, misleading, or fraudulent information, including fake restaurant listings or orders
• Interfere with or disrupt the Services, servers, or networks connected to the Services
• Attempt to gain unauthorized access to any part of the Services or other accounts
• Scrape, crawl, or use automated means to access the Services without permission
• Upload or transmit viruses, malware, or any other harmful code
• Harass, abuse, or harm other users, restaurants, or Factsparrow personnel
• Use the Services for any purpose other than their intended use

7. Restaurant Responsibilities

Restaurants using Factsparrow are solely responsible for the accuracy of their menu listings, pricing, food quality, food safety, and compliance with applicable food safety and hygiene regulations. Factsparrow acts as a technology platform and does not prepare, handle, or deliver food. Restaurants must maintain all required licenses and permits for their operations.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Factsparrow does not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee the quality, safety, or legality of any food items ordered through the platform.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Factsparrow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to Factsparrow in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Factsparrow and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may terminate or suspend your account and access to the Services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, restaurants, or Factsparrow.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree with the updated Terms, you must stop using the Services.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.
